Artineer Subscription

 

1. SERVICES INCLUDED

The monthly retainer includes access to the following services outlined on the "Get an Artineer on your team!" product card in our store. (https://www.visi00n.world/basementshop)

Services are provided on a recurring monthly basis and are non-transferable.

 

2. RETAINER STRUCTURE & PAYMENT

• The retainer fee is billed in advance.

• Because research and planning start immediately, payment is due immediately, and on the same calendar date each month.

• Services will not begin or continue until payment is successfully processed.

• Late or failed payments may result in suspension or termination of services.

• All payments are non-refundable once the billing cycle has begun.

3. SCOPE OF WORK & LIMITATIONS

The retainer includes ongoing creative and marketing support; however:

• Work is delivered based on monthly capacity and task-priority scheduling.

• Visi00n Production House Studios reserves the right to define project scope and workload distribution.

• Requests outside the agreed scope may require additional billing or a separate agreement.

• Turnaround times vary based on project complexity and current workload.

The retainer does not guarantee unlimited revisions, unlimited content production, or unrestricted access to all services at all times.

4. 24-HOUR REMOTE MANAGEMENT

“24-hour remote management” refers to:

• Monitoring of active campaigns and systems

• Scheduled updates and adjustments during business cycles and after-hours

• Response to urgent operational issues within reasonable capacity

This does not constitute:

• Real-time, immediate response at all hours

• Emergency IT, legal, or financial support

Response times are based on priority classification and operational availability.

5. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide timely access to necessary materials, brand assets, and approvals

• Ensure all provided content (logos, images, text, etc.) is legally owned or licensed

• Respond to feedback or approval requests within reasonable timeframes

• Maintain active communication for project continuity

Delays in client response may affect timelines and delivery schedules.

6. INTELLECTUAL PROPERTY (COMPANY RIGHTS)

Unless otherwise agreed in writing:

• All pre-existing tools, systems, workflows, templates, strategies, frameworks, and proprietary methods used by VPH remain the exclusive intellectual property of the Company.

• The Company retains ownership of all internal processes, automation systems, and marketing frameworks developed during service delivery.

If payment is received, the Client is granted a non-exclusive, non-transferable license to use deliverables solely for their own business purposes. Should payment method not clear or decline, license status is forfeited, and granted to VPH.

7. INTELLECTUAL PROPERTY (CLIENT RIGHTS)

Upon full payment:

• The Client owns final delivered creative assets (e.g., finished graphics, videos, designs, campaign materials) created specifically for the Client.

• The Client may use these assets for marketing, advertising, and business operations.

However:

• Raw project files, source files, editable project structures, and internal systems remain the property of the Company unless explicitly agreed otherwise in writing.

Without full payment the work created will be used for Visi00n Production House Studios marketing purposes.

8. PORTFOLIO & MARKETING USAGE

The Company reserves the right to:

• Display completed work in portfolios, case studies, websites, social media, and marketing materials

• Use non-confidential project outcomes for promotional purposes

Confidential Client information will NEVER be publicly disclosed. To ensure all parties involved uphold this, please disclose anything you want private with a disclaimer before addressing it with VPH Creators.

9. CONFIDENTIALITY

Both parties agree to maintain confidentiality regarding:

• Business strategies

• Internal systems

• Private campaign data

• Financial or proprietary information

This clause remains in effect even after termination of the agreement.

10. TERMINATION

Either party may terminate this Agreement with written notice.

• Services continue until the end of the current paid billing cycle.

• No partial refunds are issued for unused time within a billing period.

• The Company may terminate services immediately in cases of abuse, non-payment, or breach of terms.

11. LIMITATION OF LIABILITY

Visi00n Production House Studios shall not be held liable for:

• Loss of revenue, profits, or business opportunities

• Platform outages (social media, CRM, hosting providers, etc.)

• Third-party tool failures or integrations

• Indirect or consequential damages

All services are provided on a professional best-effort basis.

12. THIRD-PARTY TOOLS & INTEGRATIONS

The Company may utilize third-party platforms including but not limited to:

• CRM systems

• Email marketing tools

• Social media platforms

• Analytics tools

We are not responsible for changes, limitations, or failures of third-party services.

13. MODIFICATIONS

Visi00n Production House Studios reserves the right to modify these Terms at any time. Clients will be notified of significant changes in advance when applicable.

14. AGREEMENT ACKNOWLEDGEMENT

By subscribing to the retainer package or making payment, the Client acknowledges they have read, understood, and agreed to these Terms & Conditions.

 

 

 

Visual Session (Photo and/or Video)

 

In The Basement At Visi00n Production House Studios, every project represents a creative partnership. Whether you're booking a photography session, video production, branding project, graphic design service, or creative consultation, our goal is to provide an exceptional experience while delivering professional results that help bring your vision to life. To ensure fairness, efficiency, and quality for all clients, the following policies apply to all bookings and services. ---

Payment Policy: All services must be paid in full at the time of purchase. Because every booking reserves dedicated creative time, planning, production resources, equipment availability, and project scheduling, payment is required to secure your reservation and initiate project preparation. Once payment has been received, your booking is considered confirmed. ---

Creative Time Reservation: When you purchase a service from The Basement, you are not simply purchasing photos, videos, or designs—you are reserving creative expertise, production time, planning, and resources dedicated specifically to your project. As a result, all sales are final. The time reserved for your project cannot be resold once allocated, which is why full payment is required to secure your booking. ---

Rescheduling Policy: We understand that unexpected situations may occur. Clients may request to reschedule their session or project with at least 24 hours' notice before the scheduled appointment. Approved reschedules may be transferred one time to a future available date within 30 days of the original booking. Rescheduling requests submitted with less than 24 hours' notice may not be eligible for transfer and will be reviewed on a case-by-case basis. ---

No-Show Policy: Failure to attend a scheduled photography session, video production, consultation, or project meeting without prior communication will be considered a no-show. No-shows forfeit the reserved appointment and are not eligible for refunds, credits, or complimentary rescheduling. ---

Photography & Videography Sessions: Clients are responsible for arriving prepared and on time for all scheduled production sessions. This includes: - Wardrobe preparation - Props and accessories - Location access arrangements - Required permissions or permits - Talent coordination - Any project-specific materials

Note: Late arrivals to any booked session will reduce available shooting time.

 

 

 

Graphic Design Kit

These Terms & Conditions govern the purchase and delivery of all graphic design, branding, print, motion graphics, web design, and creative services offered by the Company. By purchasing any service from VPH Studios, you acknowledge that you have read, understood, and agree to these Terms & Conditions.

 

1. Services

2. Payment Policy

All services require 100% payment in full at the time of purchase.

Projects will not begin until payment has been successfully processed.

If payment is declined, reversed, disputed, refunded, charged back, or otherwise becomes invalid for any reason, the project will immediately be suspended or terminated.

Any unpaid work remains the exclusive property of Visi00n Production House Studios.

The Company is under no obligation to deliver any files, concepts, source files, strategies, or creative assets until payment has been received in full.

 

3. Chargebacks & Payment Reversals

The Client agrees not to initiate a chargeback or payment dispute for services that have been delivered or substantially performed.

If a payment is reversed after work has begun or has been completed:

all licenses granted to the Client immediately terminate;

the Client's authorization to use the work immediately ends;

ownership of all concepts, designs, drafts, source files, artwork, branding strategies, and creative materials remains exclusively with Visi00n Production House Studios; and

the Company reserves the right to pursue all available legal and equitable remedies to recover unpaid fees and protect its intellectual property.

 

4. Intellectual Property Ownership

Until the project has been paid for in full, every concept, draft, mockup, design, illustration, strategy, layout, animation, website, marketing asset, and creative work produced by VPH Studios remains the exclusive intellectual property of the Company.

Following full payment, ownership of the final approved deliverables created specifically for the Client transfers to the Client unless otherwise stated in a separate written agreement.

The following remain the exclusive property of Visi00n Production House Studios:

design methodologies;

creative processes;

templates;

internal systems;

automation workflows;

proprietary frameworks;

reusable design components;

software;

production files;

internal documentation; and

any pre-existing intellectual property owned by the Company.

Unless otherwise agreed in writing, editable source files (including but not limited to Adobe Illustrator, Photoshop, InDesign, After Effects, Premiere Pro, Figma, XD, Blender, or similar project files) are not included with standard design packages.

 

5. Client Intellectual Property

The Client retains ownership of all intellectual property they provide, including:

logos;

photographs;

written content;

trademarks;

illustrations;

brand assets;

marketing materials; and

other content supplied by the Client.

The Client represents and warrants that they own or have permission to use all submitted materials.

The Client agrees to indemnify and hold harmless VPH Studios against claims arising from unauthorized or infringing content provided by the Client.

 

6. Design Revisions

Each Design Kit includes:

the initial design presentation; and

two (2) full concept revision rounds after the initial delivery.

A revision round may include reasonable changes to the approved concept, such as typography, colors, layout adjustments, imagery, or copy updates.

Requests that fundamentally change the approved concept, direction, or project scope may be treated as a new project.

After the two included revision rounds have been used, additional revision rounds are billed at 50% of the original service price, payable in advance before additional work begins.

Unused revisions do not carry over to future projects.

 

7. Client Approvals

The Client is responsible for reviewing all proofs before final approval.

Approval confirms that the Client has verified:

spelling;

grammar;

layout;

measurements;

dimensions;

colors;

phone numbers;

addresses;

URLs;

QR codes;

pricing;

legal information; and

all other project content.

After written approval has been provided, the Company is not responsible for errors discovered later.

Corrections requested after approval may require additional fees.

 

8. Website Design Services

Website projects include only the scope selected during checkout.

Additional pages, custom functionality, integrations, copywriting, photography, videography, SEO services, hosting, maintenance, third-party software subscriptions, and platform licensing are not included unless specifically stated in writing.

The Client is responsible for maintaining active subscriptions to required third-party platforms where applicable.

 

9. Delivery

Project timelines begin after:

payment has been received;

all required materials have been submitted; and

project onboarding has been completed.

Delays in providing content, approvals, or feedback may delay project completion.

Estimated timelines are provided for planning purposes only and are not guarantees.

 

10. Client Communication

Efficient communication is essential.

If the Client becomes unresponsive for more than thirty (30) consecutive days, the project may be archived.

Archived projects may require a reactivation fee before work resumes.

 

11. Cancellation

The Client may cancel a project at any time.

However, because design work begins immediately after purchase, payments are generally non-refundable once work has commenced.

If cancellation occurs before work begins, the Company may issue a refund at its sole discretion, less any applicable administrative or processing fees.

 

12. Portfolio Rights

Unless otherwise agreed in writing, VPH Studios reserves the right to display completed work in its:

portfolio;

website;

social media;

marketing materials;

presentations;

award submissions; and

promotional campaigns.

Confidential information will not be disclosed without permission.

 

13. Limitation of Liability

To the fullest extent permitted by applicable law, VPH Studios shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, loss of business opportunities, or reputational harm arising from the use of our services.

The Company's total liability for any claim arising under these Terms shall not exceed the total amount actually paid by the Client for the specific service giving rise to the claim.

 

14. Third-Party Services

The Company may utilize third-party platforms, fonts, stock imagery, plugins, hosting providers, APIs, software, printing vendors, AI-assisted tools, or other service providers.

The Company is not responsible for outages, policy changes, licensing modifications, discontinued services, or technical failures of third-party providers.

 

15. Force Majeure

The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, cyberattacks, internet outages, labor disputes, government actions, public health emergencies, utility failures, or other force majeure events.

 

16. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Visi00n Production House Studios operates, without regard to conflict-of-law principles.

 

17. Acceptance

By purchasing any service from Visi00n Production House Studios, the Client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.

These Terms constitute the entire agreement relating to the purchased services unless superseded by a separate written contract signed by both parties.

4. Order Processing
Many of our products are produced on demand.
Production begins after payment has been successfully received.
Estimated production and delivery dates are estimates only and are not guaranteed.
Production timelines may vary due to:
product demand;
inventory availability;
printing schedules;
supplier delays;
shipping carrier delays;
weather events; or
circumstances beyond our reasonable control.

5. Shipping
Shipping estimates are provided by third-party carriers.
Once an order has been transferred to the shipping carrier, delivery timelines are outside the Company's control.
Visi00n Production House Studios is not responsible for delays resulting from:
carrier disruptions;
customs processing;
incorrect shipping information provided by the customer;
weather;
labor disputes;
natural disasters; or
other unforeseen events.
Customers are responsible for ensuring that their shipping address is accurate at the time of purchase.
Additional shipping charges may apply for returned or undeliverable packages caused by incorrect address information.

6. Product Appearance
We strive to display product colors, textures, materials, and finishes as accurately as possible.
However, actual products may vary slightly due to:
monitor calibration;
mobile device displays;
printer variation;
fabric dyes;
manufacturing tolerances;
lighting conditions; and
natural material characteristics.
Minor differences between digital previews and finished products do not constitute defects.

7. Sizing
Sizing charts are provided where available.
Customers are responsible for reviewing sizing information before placing an order.
Visi00n Production House Studios cannot guarantee fit across all body types or manufacturers.

8. Custom & Personalized Products
Customized, personalized, commissioned, or made-to-order products are produced specifically for the customer.
Because these items cannot be resold, custom orders are generally non-refundable except where required by applicable law or in cases of verified manufacturing defects.
Customers are responsible for reviewing all spelling, artwork, measurements, and personalization details before approving production.

9. Returns & Exchanges
If you receive a product that is damaged, defective, or materially different from what was ordered, please contact us within 14 calendar days of delivery.
To evaluate your request, we may require:
photographs of the product;
photographs of the packaging;
your order number; and
a description of the issue.
Approved resolutions may include:
replacement;
repair;
store credit; or
refund, at the Company's discretion and as required by applicable law.
Products may not be eligible for return if they have been:
worn;
washed;
altered;
damaged through misuse;
intentionally modified; or
used in a manner inconsistent with their intended purpose.

10. Limited Edition Products
Certain collections may be identified as:

Collector Edition
Availability is limited.
Once inventory is exhausted, these products may not be reproduced.
The Company reserves the right to discontinue products at any time.

11. Intellectual Property
All artwork, illustrations, graphics, typography, product designs, photographs, branding, logos, packaging, layouts, product mockups, marketing materials, and creative content remain the exclusive intellectual property of Visi00n Production House Studios or the applicable rights holder unless otherwise stated.
Purchasing a product does not transfer ownership of the underlying artwork or intellectual property.
Customers receive ownership of the physical product only.
No artwork may be:
copied;
scanned;
reproduced;
modified;
resold;
licensed;
digitized;
commercially exploited; or
redistributed
without prior written permission from the Company.

12. Artist Collections
Some artwork featured on our products is created by independent artists or collaborators.
All copyrights remain with the respective artist unless otherwise assigned through written agreement.
Unauthorized reproduction may violate copyright laws.

13. Commercial Use
Unless expressly authorized in writing, products purchased from Visi00n Production House Studios are intended for personal or internal business use only.
Commercial resale, reproduction, wholesale redistribution, or manufacturing based on our designs is prohibited without written authorization.

14. Limitation of Liability
To the fullest extent permitted by applicable law, Visi00n Production House Studios shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the purchase, use, or inability to use our products.
Our total liability shall not exceed the purchase price paid for the affected product.

15. Product Care
Customers are responsible for following all provided care instructions.
The Company is not responsible for damage resulting from:
improper washing;
improper installation;
misuse;
neglect;
exposure to unsuitable environmental conditions; or
normal wear and tear.

16. Force Majeure
The Company shall not be responsible for delays or failures resulting from events beyond its reasonable control, including but not limited to natural disasters, severe weather, public health emergencies, cyberattacks, supplier shortages, labor disputes, government actions, transportation disruptions, or utility failures.
